| ACQUISITION OF GUARDHALL SECURITY GROUP LTD |

| FGH Security acquired the total shares of Guardhall Security Group incorporating Guardhall Central Station Ltd, Guardhall Security Services Ltd and Guardhall Investigations Ltd into their business portfolio. FGH Security experienced another excellent year in 2009 with organic growth of over 30% and adding Guardhall's service portfolio to ours should only assist in our mission to become the Northwest's largest independent security provider.

We shall be
looking to grow the number of customers in our NSI Gold approved Alarm Receiving
Centre and with the addition of our new car park management division (Northwest
Parking Solutions) we are now able to offer the complete security solution using
a combination of manned and electronic security.
FGH Security
have in excess of 200 staff and were winners at the Security Excellence Awards
2009 and have recently been awarded a 4 year contract with the NHS and NWCCA to
carry out Manned Security Services, Keyholding and Alarm Response and also Alarm
Monitoring with an approximate annual value of £2,000,000 + per annum.
